These terms govern your use of this website, the PipInsights client portal, and any services provided by PipInsights LLC, a Tennessee limited liability company ("PipInsights," "we," "us"). By using this website or our services, you agree to these terms.
PipInsights provides retail analytics and reporting services, including retailer scorecards, syndicated data management, distributor reporting, and category analysis. The specific scope, fees, and term of any engagement are set out in a separate written agreement or statement of work between PipInsights and the client. Where that agreement conflicts with these terms, that agreement controls.
You may use this website for lawful purposes only. You agree not to attempt to gain unauthorized access to any part of the site or portal, interfere with its operation, scrape or harvest data from it by automated means, or use it to transmit malicious code.
Access to the client portal is limited to authorized users of active clients. You are responsible for keeping your credentials confidential and for activity that occurs under your account. Notify us promptly at [email protected] if you believe your credentials have been compromised.
Clients retain ownership of the data they provide to us or authorize us to retrieve on their behalf. Clients grant PipInsights the limited right to access, process, and present that data as needed to deliver the services.
Some data we work with is licensed from third-party providers such as syndicated market data vendors and retailer portals. That data remains subject to the license terms between the client and the provider. Clients are responsible for holding valid licenses to the data they ask us to work with, and for any redistribution limits those licenses impose. PipInsights does not resell third-party licensed data.
The PipInsights name, logo, website content, dashboard templates, and underlying tooling are the property of PipInsights LLC. Deliverables prepared for a client may be used by that client for its own internal and commercial purposes, as further described in the applicable engagement agreement.
Our reporting is derived from retailer portals, distributor files, and third-party syndicated data. We take reasonable care to reconcile and validate what we deliver, but we do not control the accuracy, completeness, or timeliness of source data, and source providers restate figures from time to time. Deliverables are provided for business analysis purposes and are not financial, legal, investment, or tax advice. You are responsible for your own business decisions.
Fees, invoicing cadence, and payment terms are set out in the applicable engagement agreement or statement of work. Invoices are due as stated on the invoice.
Each party will protect the other's confidential information and use it only for purposes of the engagement. This obligation survives termination. Where a separate non-disclosure agreement is in place, that agreement controls.
Except as expressly stated in a signed engagement agreement, this website and our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, PipInsights will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the services will not exceed the fees paid by the client to PipInsights in the twelve months preceding the event giving rise to the claim.
Either party may terminate an engagement as provided in the applicable engagement agreement. We may suspend or terminate website or portal access at any time for conduct that violates these terms.
These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The state and federal courts located in Davidson County, Tennessee will have exclusive jurisdiction over any dispute arising under these terms.
We may update these terms from time to time. Revisions take effect when posted with an updated effective date on this page.
